By requesting a quote, accepting a proposal, or commissioning a project from VALENIZED, the Client agrees to the following Terms of Service.
These terms are intended to establish a clear, efficient, and professional working relationship between the Client and Designer.
"Designer" refers to VALENIZED.
"Client" refers to any individual, company, organization, or entity commissioning the Designer's services.
"Project" refers to any agreed creative service, design deliverable, or commission undertaken by the Designer.
01. INQUIRIES & QUOTING
Each project is quoted individually according to its requirements. Pricing is determined by the scope, complexity, intended application, number of deliverables, timeline, and commercial usage of the work. The base amount for projects is 100$, Pricing differs based on the request. In some cases, the pricing may be reduced.
1.1 Pricing Factors
Factors that may influence the final quotation include:
- Complexity and creative requirements
- Number and type of deliverables
- Intended commercial or personal use
- Number of design directions required
- Project timeline
- Additional assets or services
- Licensing requirements
- Requested source or editable files
1.2 Inquiry Requirements
The Client should provide sufficient information when requesting a quotation, including the nature of the project, intended use, required deliverables, timeline, and any relevant references or specifications. Generic inquiries without sufficient project information may not receive a quotation.
1.3 Currency
All quotations and invoices will be issued in USD / INR, unless agreed otherwise. If payment is made in another currency, the Client is responsible for ensuring that the Designer receives the full invoiced amount after exchange-rate differences and transaction fees.
1.4 Quote Validity
Unless otherwise stated, quotations are valid for 30 days from the date they are issued. After this period, the Designer may revise the quotation according to availability, project requirements, or current rates.
1.5 Additional Costs
Any third-party costs required for the project, including commercial fonts, stock imagery, plugins, templates, printing, or licensing, may be charged separately. The Client will be informed of additional costs before they are incurred whenever reasonably possible.
02. PAYMENT TERMS
2.1 Payment Structure
A 50% non-refundable deposit is required before work begins. The remaining 50% balance is due before final files are delivered. Alternative payment structures may be agreed upon for larger or ongoing projects.
2.2 Commencement of Work
No sketches, concepts, research, development, or other project work will begin until the required initial payment has been successfully received.
2.3 Payment Fees
Any transaction, conversion, transfer, or payment-processing fees associated with the Client's chosen payment method are the Client's responsibility unless agreed otherwise.
2.4 Late Payments
If the final payment is not received within 30 days of project completion and invoice issuance, the Designer reserves the right to archive the project. Additional fees may apply if the Client later requests that an archived project be reopened or final files be released.
2.5 Ownership & Payment
Final usage rights and ownership of the approved deliverables will not transfer to the Client until the project has been paid in full.
03. DESIGN PROCESS & REVISIONS
The Designer values collaboration throughout the creative process. Client feedback is expected and is an important part of developing the final work.
3.1 Revisions
Reasonable revisions that remain within the original creative direction are included unless otherwise specified in the project quotation. A revision refers to an adjustment or refinement of an existing direction.
3.2 Major Revisions
A request may be considered a major revision when it changes the original brief or requires significant redevelopment of work that has already been completed. Examples include:
- Completely changing the creative direction
- Requesting an entirely new concept after approval
- Changing the project's core requirements
- Changing the brand name or primary content after substantial development
- Adding significant new deliverables
- Repeated revision cycles exceeding the agreed scope
3.3 Additional Revision Fees
Additional work resulting from major revisions or scope changes may be quoted separately before the work is undertaken. A fee of 25$ will be charged.
3.4 Client Feedback
The Client agrees to provide clear and consolidated feedback in a timely manner to avoid unnecessary delays to the project.
04. DEADLINES & DELIVERABLES
4.1 Estimated Timeline
Project timelines will be communicated during the quotation or project confirmation stage. Estimated delivery times depend on project complexity, Designer availability, and the Client's response time. Client delays may result in a corresponding adjustment to the project timeline.
4.2 Rush Projects
Requests requiring delivery earlier than the Designer's standard timeline may be subject to a rush fee. Rush availability is not guaranteed and must be agreed upon before the project begins.
4.3 Final Files
Final deliverables will be provided in the formats agreed upon during the project (e.g., PNG, JPG, PDF, SVG, AI, PSD). The exact files provided will depend on the nature of the project.
4.4 Source Files
Editable/source files are not automatically included unless specifically stated in the quotation. If source files are requested separately, an additional fee may apply.
4.5 Additional Services
Services outside the agreed project scope, including animation, 3D rendering, mockups, additional brand applications, or social media assets, may be quoted separately.
05. POST-DELIVERY SUPPORT
5.1 Designer Errors
If a technical or design error is discovered that was caused by the Designer, reasonable corrections will be made without additional charge (e.g., incorrect exports, missing deliverables, or technical bugs).
5.2 Client Changes
Changes requested after the project has been completed and approved may be treated as a new service and charged accordingly.
5.3 File Retention
The Designer may retain project files for archival purposes but does not guarantee permanent storage. Clients are responsible for maintaining backups of their final deliverables.
06. CANCELLATION & REFUND POLICY
Because commissioned design work involves research, creative development, time, and reserved availability, payments are generally non-refundable once work has commenced.
6.1 Client-Initiated Cancellation
If the Client cancels a project after work has begun, the initial deposit will remain non-refundable. If the amount of work completed exceeds the value of the deposit, the Designer may invoice the Client for the additional work completed.
6.2 Designer-Initiated Cancellation
If the Designer becomes unable to complete a project due to circumstances within their control, the Designer will provide an appropriate refund for work that has not been completed based on the proportion of work finished.
6.3 Unresponsive Client
If the Client becomes unresponsive for 30 or more consecutive days without prior notice, the project may be considered abandoned. In such cases, the Designer is not obligated to continue the project, maintain the original timeline, or provide a refund.
07. CONFIDENTIALITY
The Designer will respect confidential information provided by the Client and will not knowingly disclose private project information to unrelated third parties. If a project requires strict confidentiality, the Client must communicate this requirement before the project begins. An NDA may be requested and agreed upon separately.
08. INTELLECTUAL PROPERTY & USAGE RIGHTS
8.1 Final Deliverables
Upon receipt of full payment, the Client receives the agreed rights to use the final approved deliverables for the purposes established during the project (personal, commercial, promotional, digital, and print applications).
8.2 Unused Concepts
All unused concepts, rejected directions, sketches, drafts, explorations, working files, and preliminary material remain the intellectual property of the Designer and may not be reproduced without written permission.
8.3 Designer Rights
Unless an exclusive buyout or confidentiality agreement has been arranged, the Designer retains the right to display completed work as part of their portfolio, website, social media, case studies, publications, and promotional material.
8.4 Confidential Projects
If the Client requires the completed project to remain completely private and prohibits the Designer from displaying it publicly, this must be agreed upon before the project begins. A confidentiality or buyout fee may apply.
8.5 Third-Party Assets
Third-party assets (fonts, stock imagery, templates, plugins, software, textures) remain subject to their respective licenses. Where a license must be purchased, the Client is responsible for obtaining it.
09. TRADEMARKS & LEGAL RESPONSIBILITY
The Designer provides creative and visual design services and does not provide legal advice. The Designer does not guarantee that a logo, brand name, typeface, symbol, or other design is legally available for trademark registration. The Client is responsible for conducting appropriate trademark, copyright, domain, business-name, and other legal searches before using or registering the final work.
10. CLIENT-PROVIDED MATERIALS
The Client is responsible for ensuring that any content, images, fonts, logos, trademarks, photographs, copy, or other materials supplied to the Designer are legally available for use. The Designer is not responsible for copyright or licensing disputes arising from materials supplied by the Client.
11. LIMITATION OF LIABILITY
The Designer will make reasonable efforts to deliver professional work consistent with the agreed scope. However, the Designer will not be responsible for losses, damages, legal claims, or other consequences resulting from the Client's use, modification, reproduction, distribution, or implementation of the final work. To the extent permitted by applicable law, the Designer's total liability will not exceed the total amount paid by the Client for that project.
12. FORCE MAJEURE
Neither party will be considered responsible for delays or failure to perform obligations caused by circumstances reasonably outside their control (natural disasters, severe technical failures, extended power outages, internet failures, government actions). Both parties will make reasonable efforts to resume the project once resolved.
13. AGREEMENT
By requesting a quotation, approving a proposal, making a payment, or commencing a project with the Designer, the Client confirms that they have read, understood, and agreed to these Terms of Service. Any project-specific terms stated in a quotation or written agreement may supplement or supersede these general terms. The Designer reserves the right to update these Terms of Service periodically.
